USER AGREEMENT
This User Agreement (“Agreement”) is a legal agreement between iKoustic LTD (“iKoustic”, “we”, “our”, or “us”) and you (“you” or “your”), a user of our soundproofing products and services (“Services”). By using our Services, you agree to be bound by the terms and conditions of this Agreement.
- Services. Our Services consist of providing soundproofing materials for sale to customers and connecting customers with third-party installers (“Installers”). We do not provide installation services ourselves and are not responsible for the quality or timeliness of the installation services provided by Installers. We do not endorse any particular Installer and do not guarantee their workmanship or suitability for your project. It is your responsibility to conduct your own research and select an Installer that meets your requirements.
- Disclaimer of Warranty. We make no representations or warranties of any kind, express or implied, as to the completeness, accuracy, reliability, suitability, availability, or currency of the information, materials, or services provided by us. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Indemnity. You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our Services or your breach of this Agreement.
- Limitation of Liability. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our Services; (b) any conduct or content of any third party on our Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; or (c) unauthorized access, use, or alteration of your transmissions or content.
- Termination. We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement.
- Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
- Miscellaneous. This Agreement constitutes the entire agreement between you and us regarding the use of our Services. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
